1. Scope of Application

GameStop+ is the customer loyalty programme for individual customers (hereinafter referred to as "GameStop+") of GameStop Limited, a company incorporated in Ireland under company number 215492 with a registered office at Estuary House, Swords Business Park, Swords, Co Dublin (hereinafter referred to as "GameStop"). As part of GameStop+, GameStop may issue a loyalty card (the "GameStop+ Card"). The following General Terms and Conditions of Participation regulate the use of GameStop+ by the holder of a GameStop+ Card (hereinafter referred to as a "Customer" and/or a "Cardholder") in participating GameStop's stores in the Republic of Ireland (hereinafter referred to as a "GameStop Store") and online through our website www.gamestop.ie/Loyalty (the "Website"). GameStop's General Terms and Conditions of Business may also apply in addition to transactions undertaken using GameStop+ and can be viewed online at www.gamestop.ie/Loyalty.

2. Basic Principles, Application, Delivery of the GameStop+ Card

2.1 Participation in GameStop+ is tied to the Cardholder personally, i.e. the rights established under the programme may strictly only be exercised by the Cardholder personally. The GameStop+ Card is non-transferable; the Cardholder may not surrender the GameStop+ Card to third parties to use. 2.2 Participation in GameStop+ is free of charge for the Cardholder. 2.3 In order to obtain a GameStop+ Card the Customer must make an application. Only one GameStop+ Card per Customer may be applied for. The GameStop+ Card can be applied for in person at a GameStop Stores or by registering online on the Website. GameStop has sole authority to decide whether to issue a GameStop+ Card. There is no legal right to be issued with a GameStop+ Card. 2.4 The Customer must be an individual who has attained the age of 18 in order to be issued with a GameStop+ Card. A GameStop+ Card cannot be issued to persons under the age of 18. 2.5 Upon application the applicant must, by presenting valid identification (passport, drivers' licence or other valid form of ID as decided by GameStop in its sole discretion) to the GameStop Store's staff, prove that he/she is at least eighteen years of age, has a permanent place of residence in the Republic of Ireland and that the personal details regarding his/her email address, first name, last name and address provided on the application form are correct. 2.6 Once the application has been checked the Customer may be granted a GameStop+ Card. The GameStop+ Card remains the property of GameStop and we reserve the right to decline, issue or withdraw the GameStop+ Card at any time. GameStop shall notify the Customer as soon as possible if an application for a GameStop+ Card is rejected. 2.7 If the application is made online the Customer may receive a provisional GameStop+ Card. This can be exchanged for a final GameStop+ Card at any GameStop Store, where valid identification (passport, drivers' licence or other valid form of ID as decided by GameStop in its sole discretion) may be requested by GameStop staff to verify the Customer's identity and age. 2.8 GameStop can provide the Cardholder with access to areas of the Website, where access is restricted and on which information about GameStop+ can be called up, personal information about the Cardholder can be managed and transactions with the credit balance acquired from the purchase of games by GameStop can be carried out. There is no right to any such online access or its availability or to certain functions. 2.9 The Cardholder is responsible for protecting the GameStop+ Card against access by third parties and for keeping the login details for online access confidential. 2.10 The Customer must update his or her personal information online at the Website or notify GameStop by post at Estuary House, Swords Business Park, Swords, Co Dublin or by e-mail at hello@gamestop.ie of any changes to the details that were provided by the Customer when the application was made.

3. General Content of GameStop+

3.1 Participation in GameStop+ grants the Cardholder a bonus when selling games to GameStop. The GameStop+ Card can also grant discounts and/or advantages in connection with promotional offers and in each case for a limited period of time when purchasing games in the GameStop Stores. The Cardholder shall be notified of any such special discounts/advantages by post, e-mail or MMS/SMS. 3.2 GameStop, at its sole discretion, may set out criteria from time to time to allow for different categories or levels of the GameStop+ Card. These different levels or criteria may attract different bonuses or promotions. In connection with these different levels, please note the following: (a) Level 01 and Level 02 Cardholders shall receive a five (5) per cent bonus (hereinafter referred to as "Trade-in Bonus") in the form of a credit against the currently applicable trade-in price laid down by GameStop when GameStop purchases (pre-owned) games in a GameStop Store; (b) Level 03 Cardholders shall receive a Trade-in Bonus of 10%; (c) Epic Level Cardholders shall receive a Trade-in Bonus of 15%; GameStop may, on giving notice in-store or on its Website, vary the above levels at any time. 3.2.1 (a) Level 01 and Level 02 Cardholders shall receive a 15% percent Trade-in Bonus against Pre-orders; (b) Level 03 Cardholders shall receive a Trade-in Bonus against Pre-orders of 25%; Epic Level Cardholders shall receive a Trade-in Bonus against Pre-orders of 35%; 3.2.2. (a) Level 02 Cardholders shall receive a 5% discount on LOOT Clothing/Apparel products; (b) Level 03 Cardholders shall receive a 10% discount on Clothing/ Apparel products; (c) Level Epic Cardholders shall receive a 15% discount on LOOT Clothing/Apparel products.3.2.3 (a) Level 01 Cardholders shall receive a 10% discount on @Play Accessories; (b) Level 02 Cardholders shall receive a 20% discount on @Play Accessories; (c) Level 03 and Epic Cardholders shall receive a 30% discount on @Play Accessories;

3.3 A prerequisite for the Trade-in Bonus is that the games which the Cardholder offers to trade-in are in a usable condition and the prerequisites for an effective trade-in under the General Terms and Conditions of Business are fulfilled. GameStop is under no obligation to the Cardholder to make any trade-in purchase. 3.3.1 Special promotional offers made by GameStop for games to be traded in and for which GameStop pays all customers an increased special trade-in price, which has already been stipulated to all Customers for the games traded in, are excluded from the Trade-in Bonus under the above Clause 3.3.2 Any @Play and LOOT Clothing/Apparel products that are part of Special promotional offers made by GameStop which give all customers a special discount price cannot be further discounted with the use of @Play and LOOT Clothing/Apparel Loyalty discounts. The Trade-in Bonus cannot be combined with said promotional offers or other promotional offers. 3.4 In order to obtain the Trade-in Bonus when games are traded-in to GameStop, or to obtain any other discount or advantage under GameStop+, the Customer must present the GameStop+ Card to the GameStop Store's staff before the check-out process is commenced. If the Cardholder fails to do this, there shall be no right to be granted any bonus, discount or advantage retrospectively. 3.5 GameStop grants participants in GameStop+ an extended right of exchange (hereinafter referred to as "Return Satisfaction"). Level 03 and Epic Cardholders can, without giving reasons, exchange a Used game (once per purchase) up to seven days following purchase and receive a different Used product with the same or lower price in return. Any difference in balance will be stored on a GameStop+ Card and can only be used as store credit; store credit balance cannot be paid out in cash or be reimbursed to an account. A prerequisite for the Return Satisfaction is that the Used game which the Cardholder offers to exchange is in a usable condition. GameStop is under no obligation to the Cardholder to make any Return Satisfaction purchases. Games Exchanged through Return Satisfaction are Non-Refundable.

4. Credit Balances on GameStop+ Cards

4.1 The credit acquired by trading-in games in accordance with these Terms and Conditions can be stored on a GameStop+ Card and shall accumulate to create a credit balance ("Credit Balance"). No interest is earned on the Credit Balance; when making his/her application the Customer declares that he/she waives any corresponding interest. GameStop draws attention to the fact that the acquisition of credit on the GameStop+ Card may be relevant for tax purposes. Credit Balances cannot be transferred between GameStop+ Cards. 4.2 The maximum Credit Balance allowable on a GameStop+ Card is €1,000 in total or such other amount as GameStop may dictate from time to time ("Limit"). If a Customer reaches this Limit, the GameStop Card can no longer be used for trading-in games to GameStop until the Credit Balance has been reduced by making purchases in the GameStop Stores in accordance with Clause 4.3 below. 4.3 The Credit Balance on a GameStop+ Card can be used for making payment when purchasing any products in a GameStop Store. For this purpose the gross purchase price is deducted from the Credit Balance. If the purchase price exceeds the Credit Balance available on the GameStop+ Card the Cardholder must additionally pay the difference between the purchase price and the Credit Balance. It is not possible to use the Credit Balance on the GameStop+ Card for making payment in any GameStop store outside of the Republic of Ireland. 4.4 The Credit Balance on the GameStop+ Card cannot be paid out in cash or be reimbursed to an account. 4.5 The Cardholder can see the current status of the Credit Balance on his/her GameStop+ Card at any time after having provided proof of his/her identity in a GameStop Store. 4.6 The individual amounts credited to the Credit Balance shall in each case lapse upon the expiry of the third calendar year following the year in which the corresponding amount was credited to the Customer's GameStop+ Card. Example: If an amount was credited to the credit account in the year 2012, the right to said amount shall lapse upon the expiry of 2015. 4.7 The GameStop+ Card is not a credit, payment or cheque guarantee card. Credit collected does not have any monetary value and cannot be exchanged for cash.

5. Loss and Theft

5.1 The Cardholder must notify GameStop immediately if the GameStop+ Card is lost or stolen so that GameStop can block or cancel the GameStop+ Card. The same shall apply to the loss of login details for any online access. Once the lost GameStop+ Card has been blocked or cancelled the Customer can, at any time, arrange to be issued with a new GameStop+ Card at a GameStop Store. 5.2 GameStop cannot be held liable for any loss of the Credit Balance on a GameStop+ Card in the event that the GameStop+ Card is lost or stolen and a Cardholder shall have no right to reimbursement of the Credit Balance.

6. Termination

6.1 The Cardholder can terminate the agreement on the use of the GameStop+ Card at any time and without complying with any notice period by written notice to GameStop. In that case the GameStop+ Card must be returned forthwith to Estuary House, Swords Business Park, Swords, Co Dublin or must be handed in to a GameStop Store or the GameStop+ Card must be destroyed by the Cardholder. Termination leads to the loss of any Credit Balance stored on the GameStop+ Card. It is not possible to reactivate the Credit Balance when a new GameStop+ Card is acquired after it has previously been terminated. 6.2 GameStop can terminate a GameStop+ Card or the account of a Cardholder at any time. GameStop is entitled to invalidate and withdraw the GameStop+ Card immediately if the Customer and/or a third party uses the GameStop+ card fraudulently. 6.3 GameStop furthermore reserves the right to discontinue, modify or supplement GameStop+ at any time. 6.4 GameStop's right to terminate a GameStop+ Card or the account of a Cardholder for good cause shall remain unaffected. 6.5 In the event of termination by notice or other termination or expiry of the contractual relationship the Credit Balance shall lapse.

7. Liability

7.1 GameStop shall accept no responsibility for any unauthorised use of your GameStop+ Card or of your Credit Balance in any circumstances, including loss or theft. Your statutory rights are unaffected.

8. Miscellaneous

8.1 GameStop reserves the right to vary these Terms and Conditions at any time. Details of the revised Terms and Conditions will be available in participating GameStop Stores and on the Website. 8.2 These Terms are subject to the laws of the Republic of Ireland.
